The Georgian Public Registry lists GEL 200 for ordinary company registration in one working day or GEL 400 for same-day processing. Individual entrepreneur registration is GEL 26 or GEL 75 respectively. These are official fees, excluding legal assistance and subsequent banking or tax compliance. Decide shareholding, representation powers, legal address and regulated activities before filing.

The legal form changes liability
An entrepreneurial natural person and an LLC have different legal positions. The LLC is a separate legal entity; a sole trader conducts business personally. Compare personal exposure, admission of investors, director authority and tax eligibility before choosing.
For multiple founders, share percentages alone do not solve governance. Agree voting thresholds, appointment and removal of managers, transfers, dividends and a deadlock mechanism before those points become contentious.

Choosing the legal form
Compare personal-entrepreneur exposure with the legal position of an LLC. Ownership, investment plans and contractual obligations help determine the suitable structure.
Why the charter matters
Address representation, voting, transfer restrictions and exit arrangements. Standard articles may be inadequate where founders have divergent objectives.
After registration
Review tax registration, reporting duties, banking documentation and activity-specific licenses. Small-business tax status is not an automatic attribute of an LLC.
Founder agreement before filing
With two or more founders, document ownership allocations, future funding, voting and appointment powers before filing. Equity percentage and influence over daily management are not identical. If one founder contributes cash and another expertise or assets, specify the contribution, timing and remedies for non-performance.
Documents for an overseas founder
Cross-border incorporations may require a power of attorney, identity records, extracts for corporate founders, evidence of corporate authority and authentication. Different issuing countries may have different formalities. Confirm acceptability with the registry before incurring avoidable translation and notarisation costs.
First operational steps after registration
After incorporation, organize contact details, accounting responsibilities, banking documents, employment records and any needed permits. This is a practical first-month checklist, not a claim that one statutory 30-day deadline applies to all actions. Use it to avoid starting operations without the relevant legal foundations.
Decisions to document on day one
Before filing, consider three separate records: constitutional documents, any shareholder agreement, and the actual scope of director authority. A standard registration template will rarely solve future questions about deadlock, dilution, transfer restrictions or financing. Record who appoints management, which transactions need approval, how future investment affects voting, and whether partners have pre-emption rights. Check any sector licence, banking due diligence and data-processing obligations. Registration speed is only one element of an effective corporate structure.
LLC or sole trader: what changes?
An LLC has legal personality distinct from shareholders; a sole trader conducts business in a different liability framework. Do not choose a form based on the GEL 200 versus GEL 26 registration fee alone. Consider contracts, employees, borrowing, outside investment and exposure of personal assets. A favorable tax rate does not automatically follow from selecting a particular legal form: small-business status has separate eligibility and activity restrictions.
Documents to check before filing
Assemble founders’ identification, incorporation documents or applicable model articles, evidence for the legal address and signing authority. Foreign corporate founders may need company and representation documents, authentication and Georgian translation. Multiple shareholders should agree transfer restrictions, decision thresholds, director changes and distributions before incorporation. Correct documentation avoids delays even where an expedited official service is available.
After registration: banking and tax
Public Registry incorporation is not automatic bank onboarding. Banks may request beneficial-ownership, activity and source-of-funds documents. The small-business regime generally taxes eligible income at 1%, increasing to 3% after the statutory GEL 500,000 annual threshold under the conditions in the Tax Code (special categories may have a different threshold). VAT is a separate regime: exceeding GEL 100,000 of relevant taxable transactions over any rolling 12-month period generally triggers a registration duty. Small-business status does not remove VAT obligations.
Worked example: official vs professional cost
For a standard one-day company registration the primary official fee is GEL 200. Tbilisi Law previously advertised legal assistance starting at USD 300. These are separate components: legal work may cover articles, filing and coordination; translation, notarial formalities, address and banking may be additional. A previously advertised starting price is indicative until the service scope is confirmed in writing.
A pre-filing decision record for LLC founders
Before incorporating a two-shareholder LLC, prepare a decision matrix and have both founders confirm it: who may take ordinary operational decisions, what requires unanimous approval, whether the director may borrow, when distributions can be made, how shares may transfer, whether a pre-emption mechanism applies, who funds startup costs, and what happens if a promised capital contribution is not made. These are not theoretical questions. Model articles may not address all practical governance risks. Consider the death or resignation of a director, deadlocked 50/50 voting, and the consequences of business funding needs. Write a deadlock resolution procedure such as mediation, a buyout using independent valuation or another lawful mechanism. Clarify confidentiality, branding and use of customer relationships. Incorporation in a single working day does not address these matters.
Foreign founders: document and bank-readiness checklist
A foreign founder faces three distinct tasks: incorporation documents, the legal regime for the planned activity and a bank-compliance file. Confirm who has signing authority and the language and formal status of documents. A foreign corporate extract, appointment decision or power of attorney may require translation and authentication. Describe commercial activity in a way a bank can evaluate: expected payments, counterparties, business purpose and source of funds. Never equate company incorporation with guaranteed bank onboarding; the bank has its own identification and compliance duties. Also distinguish corporate registration, tax-account setup and sector-specific permissions. A company being registered today does not necessarily mean it can conclude every regulated transaction, receive payments and start every activity today. The answer depends on the financial and regulatory prerequisites.
